The domain name www.ubiqhr.com (hereinafter referred to as “Website“) is registered in the name of UBIQHR® FZCO, a private limited company with its office at Dubai World Trade Centre, Dubai , UAE  (hereinafter referred to as “UBIQHR® FZCO”).

This User Agreement for the Website shall come into effect on 00:00 hours GMT 1st November, 2025.Your use of the Website and services and tools are governed by the following terms and conditions as applicable to the Website. If you transact on the Website, You shall be subject to the policies that are applicable to the Website for such transaction. By mere use of the Website, You shall be contracting with UBIQHR® FZCO, these terms and conditions constitute your binding obligations, with UBIQHR® FZCO.

For the purpose of these terms and conditions, wherever the context so requires ‘You’ or “User” shall mean any natural or legal person who has agreed to become a member of the Website by providing registration data while registering on the Website as registered user using the computer systems and accepted this electronic version / electronic record of the terms and conditions and has been allocated himself a unique identification user name (“User ID” and “Password”) to become registered user or have been identified as guest user by providing cell number and email id. UBIQHR® FZCO allows User to surf the Website without registering on the Website. The term “we”, “us”, “our” shall mean UBIQHR® FZCO.

When You use any of the services provided by us through the Website, You will be subject to the rules, guidelines, policies, terms, and conditions applicable to such service and they shall be deemed to be incorporated into this terms and conditions and shall be considered as part and parcel of this terms and conditions. We reserve the right, at our sole discretion, to change, modify, add or remove portions of these terms of use, at any time. It is your responsibility to check these terms and conditions periodically for changes. Your continued use of the Website following the posting of changes will mean that you accept and agree to the changes. Product Features and Functionality

You understand and agree that UBIQHR® shall develop or deprecate features at its sole discretion. UBIQHR® has no obligation to provide any feature enhancements or to implement every feature enhancement requested. UBIQHR® considers requirements from all its customers and the product vision to decide which features to prioritize. Your requests will be prioritized based on severity, frequency of occurrence, and how many other customers are affected by the same challenge.

UBIQHR® follows a process of finalizing the feature roadmap for each quarter with the market's broad requirements in mind. The features listed in the roadmaps are delivered at the end of the quarter. Not every requirement of a specific customer might be fulfilled in the current quarter's feature release, but over time, most of these recommendations (aligned with the long-term vision of the product) will become part of the future roadmap.

UBIQHR® is not obligated to share the timeline for any specific feature’s release. Some of the existing features or functionality may be deprecated in the future. Admin users will be notified in advance before any features or functionality are deprecated. UBIQHR® will take reasonable efforts to ensure that the functionality of the product is not greatly affected by such deprecations. The deprecation of features will have no impact on the subscription plan, pricing, or invoice.

Non-refundable Payments

You understand and agree that all payment obligations under any and all order forms are non-cancellable, and all payments made are non-refundable. The license rights for the number of employees set forth on any respective Order Form cannot be decreased during the term.

Changes in UI and Functionality

You understand and agree that UBIQHR® shall modify the user experience of the product at its sole discretion. UBIQHR® will, to the best of its efforts, abilities, and knowledge, modify the UI and functionality to improve user experience based on the data and insights available to it (from quantitative and qualitative sources). In this effort, the user interface and functionality of a feature on either the web or mobile app are likely to change in the future.

Eligibility And Subscription Plans

Subscription Plans to UBIQHR®, the software application developed, owned and manged by UBIQHR® FZCO displayed in the website is only available upon entering into a separate license agreement with UBIQHR® FZCO. Use of the Website is available only to persons who can form legally binding contracts. Persons who are “incompetent to contract” including minors, un-discharged insolvents etc. are not eligible to use the Website. If you are a minor i.e. under the age of 18 years, you shall not register as a member of the Website and shall not transact or use Website. Website reserves the right to terminate your membership and refuse to provide you with access to the Website if it is brought to our notice or if it is discovered that you are under the age of 18 years.

Your Account And Registration Obligations

If You use the Website, You shall be responsible for maintaining the confidentiality of your User ID and Password and You shall be responsible for all activities that occur under your User ID and Password. You agree that if You provide any information that is untrue, inaccurate, not current or incomplete or We have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with the this terms and conditions, We shall have the right to indefinitely suspend or terminate or block access of your subscription on the Website and refuse to provide You with access to the Website.

Communications

When You use the  Website or send emails or other data, information or communication to us, You agree and understand that You are communicating with us through electronic records and You consent to receive communications via electronic records from Us periodically and as and when required. We may communicate with you by email or by such other mode of communication, electronic or otherwise.

Charges

There is no charge or fee for browsing on the Website. However we reserve the right to charge fee and change its policies from time to time. Changes to the fee and related policies shall automatically become effective immediately once implemented on the Website. Unless otherwise stated, all fees shall be quoted in AED. You shall be solely responsible for compliance of all applicable laws including those in United Arab Emirates for making payments to us.

You agree, undertake and confirm that your use of Website shall be strictly governed by the following binding principles:

  • interferes with another user’s use and enjoyment of the Website or any other individual’s user and enjoyment of similar services;

  • shall not be false, inaccurate or misleading;
  • shall not, directly or indirectly, offer, attempt to offer, trade or attempt to trade in any item, the dealing of which is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force.

You shall indemnify and hold harmless UBIQHR® FZCO, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys’ fees, made by any third party or penalty imposed due to or arising out of Your breach of this terms and conditions, Privacy Policy and other Policies, or Your violation of any law, rules or regulations or the rights of a third party.

Applicable Law

This Agreement shall be governed by and interpreted and construed in accordance with the laws of United Arab Emirates. The place of jurisdiction shall be exclusively in Dubai.

Limitation Of Liability

IN NO EVENT SHALL UBIQHR® FZCO BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH THIS AGREEMENT, EVEN IF WE HAD BEEN INFORMED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES.
